Zugleich sind sie als Geschäftsleiter verpflichtet, den regelmäßig in der Gewinnerzielung liegenden Gesellschaftszweck zu fördern. Die Publikation nimmt das hieraus resultierende Spannungsfeld zwischen Legalität und Gewinnerzielung in den Blick und fragt zunächst, auf welcher Grundlage es zu legitimieren ist, dass Gesetze im Außenverhältnis auf den Pflichtenkatalog im Organverhältnis einwirken können. Im Anschluss hieran wird deutlich, dass die Frage, ob der Vorstand im Organverhältnis zur Einhaltung eines bestimmten Gesetzes verpflichtet ist, nur anhand einer umfassenden Interessenabwägung beantwortet werden kann.
