Diese Arbeit befasst sich mit der Frage, ob die Ausfallhaftungsvorschrift des § 31 Abs. 3 GmbHG analog auf den Nur-Kommanditisten einer GmbH & Co. KG angewendet werden kann. Hierzu wird die Ausfallhaftungsvorschrift in das Zivilrecht eingeordnet und insbesondere unter dem Gesichtspunkt der Schutzwürdigkeit des Haftenden mit ähnlichen Haftungsvorschriften verglichen. Ferner werden die innergesellschaftlichenEinflussmöglichkeiten verschiedener Gesellschafter untersucht und – ausgehend von einer Erwägung des historischen Gesetzgebers – mit der Ausfallhaftung des § 31 Abs. 3 GmbHG in Verbindung gebracht.
